What is decided beforehand
The entry itself is a procedure. The decisions taken before it are what matters for years afterwards.
Who holds what. A company with two equal shareholders sounds fair and is the most common source of deadlock later. If relations go wrong, nobody has a majority. See shareholder disputes.
Who manages and how. One manager or two, acting jointly or separately. That decides who can sign alone.
The scope of activity and what else it will require. Some activities need additional registrations or a licence. Better known before, not once you are trading.
An agreement between the shareholders. People skip it because at the start they get along. It is made precisely while they still do.
If the owner is a foreign national
There is no obstacle to a foreign person owning a Bulgarian company.
The practical items are what cause delay: a personal number, a bank account, documents from abroad with an apostille and a translation in the required form, and a registered address. See personal number for foreigners.
A company set up solely to hold property is a case of its own. It carries the same obligations as any other and is not a formality. See property held by a company.
The obligations do not stop
A company that carries on no activity still has obligations every year. Annual accounts, filings, maintaining an address and records.
For foreign owners this is exactly the usual problem: the company was registered years ago for one transaction, nobody has dealt with it since, and the obligations have been quietly accumulating.
If you no longer want the company
It does not disappear on its own. It is wound down through a procedure with its own steps. See company liquidation.
What I will need
Who will take part and with what share, what the activity will be, where the address will be, and identity documents for the participants. If someone has already prepared a draft for you, bring it before it is signed.
